Stericycle International LLC and Sterile Technologies Group Ltd: A Report on the Completed Acquisition on Sterile Technologies Group Ltd by Stercycle

Both companies provide healthcare risk waste services to a range of NHS and other customers in Britain, dealing with the collection, transport, treatment and disposal of waste produced in healthcare settings (including syringes, dressings, blood products, anatomical waste and low-level radioactive waste) . Prior to the merger, Stericycle International and Sterile Technologies Group Ltd were the first and second largest suppliers of services in the British market by total revenue. The Commission has concluded that the acquisition may be expected to result in a substantial lessening of competition in the market for healthcare risk waste requiring high-temperature treatment in the geographical areas of northern England, north Midlands, north Wales, the West Midlands and south-east Wales. While considering options for remedies, Stericycle submitted its own proposal to sell some assets, and the Commission has agreed to give the company the opportunity to pursue this partial divestiture proposal. If it fails to do so within an agreed period, the Commission will have the right to mandate the sale of Sterile Technologies Group company operating in Britain, in whole or in part.
